Terms of Service for BrokerStaffer

These Terms of Service (“Terms”) govern your access to and use of https://brokerstaffer.com (the “Site”) and the services provided by BrokerStaffer (“BrokerStaffer,” “we,” “us,” or “our”).

By accessing the Site, purchasing a plan, completing a checkout, or using our Services, you agree to be bound by these Terms.

If you do not agree, do not use the Site or Services.

1. Services

BrokerStaffer provides recruiting, outbound prospecting, and business development support for real estate brokerages, teams, and related businesses.

Our Services may include:

  • Market targeting and territory selection
  • Outreach to real estate professionals
  • Pre-qualification and interest confirmation
  • Warm introductions via email or other communication channels
  • Client onboarding and performance communications
  • Pipeline and replacement support as applicable by plan

BrokerStaffer does not guarantee:

  • Replies
  • Phone calls
  • Meetings
  • Interviews
  • Hires
  • Candidate retention
  • Revenue
  • Any specific business outcome

BrokerStaffer’s role is to provide introductions and recruiting support as described in the applicable plan or offer.

2. Eligibility

By using the Site or Services, you represent and warrant that:

  • You are at least 18 years old
  • You are legally able to enter into a binding agreement
  • You are authorized to act on behalf of yourself or your business
  • The information you provide is accurate and current
  • You will use the Services only for lawful business purposes

3. Plans, Pricing, and Billing

BrokerStaffer offers service plans and pricing as displayed on the Site, checkout pages, onboarding materials, or as otherwise agreed in writing.

The Site currently presents multiple service tiers and may include plan features such as:

  • Per-introduction pricing
  • Estimated weekly or monthly delivery ranges
  • No long-term contracts
  • Pause or cancel flexibility
  • Tier-specific replacement policies
  • Tier-specific billing timing
  • Market exclusivity for certain plans where expressly offered

Published pricing, features, and policies may change at any time unless otherwise agreed in writing. The Site currently advertises service plans and pricing based on delivered introductions and states “pay only for delivered intros,” “pause or cancel anytime,” and “no contracts.”

A. Authorization to Charge

By purchasing or enrolling in Services, you authorize BrokerStaffer and its payment processor(s), including Stripe, to charge your payment method for:

  • Service fees
  • Delivered introductions
  • Applicable taxes
  • Outstanding balances
  • Approved upgrades or add-ons
  • Retry attempts for failed or previously authorized payments

B. Payment Method Verification

BrokerStaffer may place a temporary authorization charge (for example, $1.00) to verify your payment method. This is not a permanent charge and may be automatically released or reversed by your bank or card issuer.

C. Failed or Declined Payments

If a payment is declined, fails, is disputed, or cannot be processed, BrokerStaffer may:

  • Retry the charge
  • Pause or suspend service delivery
  • Require an alternate payment method
  • Disable access to certain features
  • Terminate Services for nonpayment
  • Recover unpaid balances, including reasonable collection costs where permitted by law

4. What Counts as a Delivered Introduction

A “Delivered Introduction” means a warm introduction made by BrokerStaffer in accordance with the applicable service offering, generally consisting of:

  • A real estate professional, agent, or candidate who has expressed interest in speaking with the client; and
  • A direct introduction by email (or another agreed communication channel) connecting the client and the interested party

Unless otherwise agreed in writing:

  • A Delivered Introduction is billable once it is sent to the client
  • Billing is not contingent on whether the client successfully schedules a call, conducts an interview, makes a hire, closes a transaction, or achieves any later-stage outcome
  • BrokerStaffer does not control the client’s response speed, follow-up quality, interview process, compensation package, internal hiring process, or conversion after introduction

This is critical: BrokerStaffer charges for delivered introductions, not hires or downstream outcomes.

5. Service Timing and Delivery Expectations

BrokerStaffer may provide estimated service timelines, including expected timing for first delivery or weekly/monthly ranges.

Unless otherwise expressly agreed in writing:

  • Any delivery timeline is an estimate only
  • Delivery volume may vary based on market conditions, client responsiveness, targeting criteria, seasonality, and campaign performance
  • BrokerStaffer does not guarantee a specific number of replies, appointments, hires, or conversions unless expressly stated in writing

If the Site or onboarding materials reference expected timing (including first introductions arriving within a stated window), those are operational targets, not guaranteed deadlines.

6. Response-Time Policy

Warm introductions are time-sensitive.

Clients agree to follow up promptly with each introduced candidate or agent. Unless otherwise agreed in writing:

  • Introductions not contacted within 24 hours of delivery may be deemed fully delivered and not eligible for replacement
  • Same-day follow-up is strongly recommended
  • Delayed follow-up may materially reduce candidate responsiveness and conversion

BrokerStaffer is not responsible for reduced performance caused by delayed client response.

7. Replacement Policy

Certain plans may include replacement eligibility for unresponsive introductions, subject to plan terms.

Unless otherwise agreed in writing:

  • Replacement eligibility, if any, applies only to plans that expressly include it
  • Replacement eligibility does not apply if the client fails to contact the introduced person within the required response window
  • Replacement requests may be denied if the client’s follow-up was delayed, inconsistent, incomplete, or inadequately documented
  • Replacement eligibility is determined by BrokerStaffer in good faith based on available records, timing, and communication history

Replacement eligibility is separate from refunds.

8. Client Responsibilities

To use the Services effectively, the client agrees to:

  • Provide accurate onboarding and business information
  • Designate the appropriate hiring or recruiting contact(s)
  • Respond to introductions promptly
  • Maintain reasonable availability for conversations with introduced candidates
  • Use lawful, professional, and non-discriminatory recruiting and hiring practices
  • Maintain any required licenses, registrations, or authority relevant to the client’s business
  • Communicate honestly and professionally with introduced candidates

BrokerStaffer is not responsible for poor outcomes caused by:

  • Slow follow-up
  • Missed calls
  • Poor scheduling discipline
  • Inconsistent availability
  • Unclear hiring criteria
  • Weak interview process
  • Compensation misalignment
  • Internal delays
  • Market changes
  • Changes in the client’s hiring goals after onboarding

9. No Employment Agency or Staffing Guarantee

BrokerStaffer is a recruiting support, lead generation, and introduction service.

Unless explicitly stated otherwise in a separate written agreement:

  • BrokerStaffer is not your employer
  • BrokerStaffer is not a staffing firm or placement firm guaranteeing employment outcomes
  • BrokerStaffer does not guarantee any candidate will accept an offer, join your organization, remain employed, or produce revenue

Clients remain solely responsible for their hiring, recruiting, compensation, compliance, and employment decisions.

10. No Exclusivity Unless Expressly Confirmed

No market, territory, county, or client exclusivity exists unless explicitly stated in writing by BrokerStaffer.

If a plan includes “market exclusivity” or similar language:

  • The exact scope, duration, and conditions of that exclusivity are determined solely by BrokerStaffer’s written confirmation
  • Exclusivity may depend on payment status, compliance with service requirements, and continued plan eligibility

11. Pause, Cancellation, and Termination

Unless otherwise agreed in writing:

  • Clients may pause or cancel Services at any time for future delivery
  • Cancellation does not reverse or invalidate charges for introductions already delivered
  • Pausing service does not erase outstanding balances
  • BrokerStaffer may pause, suspend, or terminate Services at any time for nonpayment, abuse, legal risk, misuse, operational concerns, or violation of these Terms
  • Any outstanding amounts remain due after cancellation or termination

12. Refund Policy

Because BrokerStaffer provides a custom, time-sensitive, performance-based service, all fees for Delivered Introductions are generally non-refundable once the introduction has been delivered, except:

  • Where required by law; or
  • Where BrokerStaffer expressly agrees otherwise in writing

For clarity:

  • A replacement (if applicable) is not a refund
  • Failure to achieve a meeting, interview, hire, or downstream business result does not entitle the client to a refund
  • Client-side delays, non-responsiveness, process failures, or changes in hiring criteria do not entitle the client to a refund

13. Acceptable Use

You agree not to:

  • Use the Site or Services for unlawful purposes
  • Harass, threaten, spam, or mislead candidates or prospects
  • Misrepresent your company, compensation, role, or opportunity
  • Use the Services in a discriminatory or unlawful manner
  • Attempt to copy, scrape, reverse engineer, or misuse BrokerStaffer’s systems, materials, or processes
  • Interfere with the Site’s operation or security

BrokerStaffer may suspend or terminate access for violations.

14. Intellectual Property

All content, branding, text, graphics, workflows, service descriptions, materials, layouts, and related intellectual property on the Site or provided in connection with the Services are owned by or licensed to BrokerStaffer and protected by applicable law.

You may not copy, reproduce, republish, distribute, modify, create derivative works from, or exploit any part of the Site or Services without prior written consent, except as reasonably necessary for your internal business use as a client.

15. Testimonials, Logos, and Marketing Use

BrokerStaffer may reference customer feedback, testimonials, or anonymized results where lawfully permitted.

BrokerStaffer will not publicly use a client’s name, logo, or branded case study in marketing materials without permission where such permission is required.

16. Third-Party Providers

BrokerStaffer may use third-party providers to operate the Site and Services, including:

  • Stripe for payment processing
  • Email and communication tools
  • CRM and pipeline tools
  • Scheduling tools
  • Analytics providers
  • Hosting and infrastructure providers

BrokerStaffer is not responsible for outages, failures, delays, or policy changes caused by third-party platforms or providers.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR PRODUCE ANY PARTICULAR RESULT.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BROKERSTAFFER AND ITS OWNER, AFFILIATES, CONTRACTORS, EMPLOYEES, AGENTS, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST OPPORTUNITIES, LOSS OF DATA, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SITE OR SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BROKERSTAFFER’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CLIENT TO BROKERSTAFFER FOR THE SPECIFIC SERVICE OR INTRODUCTION(S) GIVING RISE TO THE CLAIM DURING THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

19. Indemnification

You agree to defend, indemnify, and hold harmless BrokerStaffer and its owner, affiliates, contractors, employees, agents, and representatives from and against any claims, liabilities, losses, damages, judgments, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • Your use of the Site or Services
  • Your violation of these Terms
  • Your communications or dealings with introduced candidates
  • Your recruiting, hiring, compensation, or employment decisions
  • Your violation of any law or third-party rights

20. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms, the Site, or the Services shall be brought exclusively in the state or federal courts located in Dallas County, Texas, and each party irrevocably consents to the personal jurisdiction and venue of those courts.

21. Changes to These Terms

BrokerStaffer may update these Terms at any time.

If we make changes, we will update the “Last Updated” date at the top of this page. Your continued use of the Site or Services after the updated Terms are posted means you accept the revised Terms.
